01The agreement and the service
These Terms of Service govern access to the TELGO website and services provided by Vonoip Systems, LLC D.B.A. telgo.io (“TELGO,” “we,” “us,” or “our”). “You” means the individual using the website or, when services are purchased for an organization, that organization and its authorized users as applicable.
When you accept these terms through account registration, an order, or another acceptance process, they form part of your agreement with TELGO. A person accepting on an organization’s behalf must have authority to bind it. Visiting a marketing page does not by itself purchase a subscription.
A signed service agreement, accepted order, service-specific terms, and any applicable data-processing agreement may supplement these terms. A signed agreement or accepted order controls a conflicting commercial provision; mandatory legal rights remain unaffected.
TO BE FINALIZED [ORDER-01]: Complete agreement and acceptance. Finalize the documents incorporated into each purchase, their order of precedence, effective date, and how customers receive and accept them. Specify acceptance records, document versions, and required notices of later changes.
02Accounts and authorized users
You must provide accurate account and contact information, maintain appropriate access permissions, and protect credentials. Notify TELGO promptly of suspected unauthorized access. Account administrators may invite users, manage features, and view information available to their role.
You are responsible for your authorized users’ compliance and for activity you authorize through the account. Creating an account does not automatically activate every feature, provision telephone numbers, enable an AI agent, or establish a paid subscription. Availability depends on configuration, eligibility, and the services ordered.
03Plans, usage, and payment
Prices and included services. Your accepted order or checkout summary identifies the package, subscription term, recurring charges, allowances, usage rates, applicable taxes and surcharges, and renewal date. Prices described as “starting at” are not all-inclusive. Planned features are not included unless expressly agreed. Charges are in U.S. dollars unless your accepted order specifies another currency.
Account packages include the extension and concurrent-call allowances stated in your order. There is no separate per-extension fee within that allowance. Phone-number rental, additional channels, agents, account-bound custom tools, and optional memory are separately priced unless expressly included. A custom-tool subscription enables that tool for the purchasing account; it does not grant rights to another account.
Prepaid subscriptions and automatic renewal. Fixed recurring services are paid in advance for the monthly or annual term you select. Unless canceled before renewal, they renew for the same term and we charge the card on file at the disclosed renewal price. Annual subscriptions receive a 10% discount on fixed recurring charges, including the package, agents, custom tools, memory subscriptions, additional channels, and number rental. Usage and overages do not receive this annual discount. A signed agreement or accepted custom order may specify different commercial terms.
Your billing date. Accounts have individual billing dates. Signup on days 1–28 establishes that day as the billing day. Signup on the 29th, 30th, or 31st establishes the 28th as the billing day. Any shortened initial subscription term is prorated at signup; checkout shows the initial service period, charge, and next renewal date. Monthly subscriptions renew monthly and annual subscriptions renew annually. Usage is settled monthly on the account billing date or sooner under the usage threshold below, including for annual subscribers.
Package upgrades and downgrades. An accepted package upgrade or downgrade ends the old package term and starts a new billing cycle. We calculate a refund for the unused portion of the old package using its actual subscription price paid, including any discount, and the remaining portion of its paid term. We charge the newly selected term upfront. You may select annual billing with the annual discount or monthly billing without that discount. The change date establishes the new billing day, subject to the 28th-day rule and initial proration above. The change summary identifies the refund, new charges, service periods, and treatment of existing add-ons, including adjustments for already-paid overlapping periods. This package-change refund is an exception to the ordinary cancellation policy. Accrued usage and unpaid invoices are preserved.
Usage charged after consumption. Calling, AI, messaging, transcription, memory processing, and other metered services may incur separate usage charges as disclosed in your order or applicable rate schedule. Customer voice and AI duration charges are calculated in per-second increments. PSTN and AI usage are separate components: a call involving both may incur both charges, or the combined rate shown in your offer. Transfers, forwarding, and conferences may create additional billable external call legs. Rates may vary by destination, number type, call origin, and other disclosed rating criteria. Any connection charges or non-duration charges must be disclosed in the applicable rate schedule. Memory and messaging units and overages follow their separately disclosed definitions.
Automatic usage billing threshold. The default account threshold is $100 in accumulated unbilled usage. You may select a lower positive threshold through billing settings or TELGO support. A higher threshold requires TELGO approval. When rated, unbilled usage reaches the account threshold, we may issue an invoice and automatically charge your card before the next regular billing date. On the monthly account billing date, we invoice remaining unbilled usage for the preceding period. Usage already invoiced is excluded from later usage invoices.
The threshold is a collection trigger, not a spending cap or a guarantee that a charge will equal the threshold. Concurrent calls, calls still in progress, rating delays, and applicable taxes or surcharges can cause the amount collected to exceed it. Later-received usage records may appear on a later invoice without being charged twice. Threshold charges do not change your subscription renewal date.
Card on file and authorization. You must maintain a valid card and accurate billing information. Before enrollment, TELGO presents the recurring-payment and usage-charge terms for your affirmative acceptance. By providing that authorization, you authorize the disclosed subscription renewals, usage invoices, and accepted purchases to be charged to your stored payment method. We provide invoices and payment confirmations. Updating or removing a card does not cancel a subscription or extinguish charges already incurred.
Failed payments. If a payment due for existing service or usage fails, we send a payment warning to your account billing contact and immediately restrict ordinary outbound calling. Inbound and inbound AI calling remain available during the payment grace period, subject to purchased capacity and other service restrictions, and continue to incur applicable usage charges. If the overdue payment remains unpaid 72 hours after its first failed attempt, we suspend the account. Further attempts to collect that overdue payment do not restart its grace period. Once the overdue payment is successfully settled, we remove payment-related restrictions and restore service for which you have an active entitlement, subject to any independent security, legal, or account restrictions. Emergency calling is addressed separately under Section 06.
Final charges and billing questions. You remain responsible for usage and other authorized charges incurred before service ends, even if invoiced afterward. Cancellation, suspension, a package change, or number release does not erase those amounts. We may charge the authorized card for a final usage invoice and pursue lawful collection of unpaid amounts, including referral to a collection agency. This provision does not create an undisclosed collection fee or waive rights to dispute charges. Contact TELGO with billing questions. Required legal refunds and other nonwaivable rights remain unaffected.
Changes to rates or recurring charges will be communicated before they apply as required by your agreement and applicable law. A revised website price alone does not retroactively change charges for an already purchased term.
TO BE FINALIZED [BILL-01]: Proration and refund mechanics. Specify the billing timezone, proration calculation and rounding, annual initial-term treatment, refund destination and processing timing, and how existing add-ons align when a package change resets the billing cycle. Preserve the agreed refund of unused value for upgrades and downgrades.
TO BE FINALIZED [BILL-02]: Declined new purchases and payment notices. Decide whether a declined new optional purchase only prevents activation, without triggering the existing-service suspension policy. Define retry notices, invoice and receipt delivery, and treatment of disputed charges. No additional fees are established by this placeholder.
04Calling, numbers, and integrations
Calling and messaging depend on network connectivity, carrier facilities, account configuration, and compatible equipment. Number availability, routing, porting, caller-name display, and delivery may depend on external providers. Do not cancel an existing carrier service before a requested number port is confirmed complete.
You must have authority to use the numbers and caller identities configured on your account. Use of Microsoft Teams or other third-party integrations may require separate licenses, permissions, and agreements. TELGO does not control those providers’ products or availability.
Concurrent-call capacity. External calls and calls involving an AI agent share the account’s purchased concurrent-call allowance. An external call with an AI agent consumes one call slot, although PSTN and AI usage may both be charged. An ordinary internal extension-to-extension call without AI does not consume this allowance. A second external or AI call requires another available slot. Capacity is not an allowance of free minutes. Additional channel subscriptions increase concurrent-call capacity.
When capacity is exhausted, a call may not connect to its intended destination. Queueing, announcements, or an overflow receptionist are available only where configured and offered. Any separately charged overflow service must be disclosed before activation; these terms alone do not promise unlimited waiting capacity or an AI overflow service.
Numbers after expiration or suspension. When a paid account term expires without renewal, or the account is suspended for nonpayment, TELGO reserves its assigned numbers for 90 days from that expiration or suspension. The hold does not provide active calling or messaging service. During the hold, you may request reactivation with the same numbers, subject to settling overdue charges and purchasing the required service. Payment retries do not restart the hold period.
After the 90-day hold, TELGO may return the numbers to its available inventory for reassignment or cancel them with the supplying carrier. Once released, the same numbers are not guaranteed for a returning customer. The hold is subject to lawful port-out requests and legal or regulatory requirements. TELGO removes the previous account’s routing, message-forwarding, webhook, and agent associations before a number is reassigned. This policy does not limit number-porting rights under applicable law.
TO BE FINALIZED [EXIT-01]: Number port-out procedure. Define the written request channel, required customer authorization and verification, assistance process, any disclosed fees, and coordination of port completion with cancellation. Identify which charges stop when a number ports. Preserve applicable porting rights and the agreed 90-day number hold.
TO BE FINALIZED [CALL-01]: Capacity and overflow handling. Define transfers and conference capacity, queue limits, maximum waiting time, overflow AI activation and pricing, and customer options when capacity is unavailable. Do not promise an overflow receptionist until the service and applicable charges are configured and disclosed.
05SMS/MMS services
TELGO’s own messaging programs are described in the SMS Terms. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance. Marketing consent is optional and is not a condition of purchase.
If you use TELGO to send messages for your business, you must identify your business as the sender, obtain and retain appropriate consent, honor opt-outs and other valid revocations, and provide accessible messaging terms and a privacy notice. Do not use purchased or transferred consent, rented lists, or misleading sender identities. A telephone call, account registration, or acceptance of these terms alone is not blanket permission for promotional texts.
You must supply accurate business and campaign details and complete the registration or verification required for your sending number and use case. Local-number A2P messaging and toll-free messaging may follow different approval processes. Voice activation does not establish messaging approval, and registration does not guarantee delivery.
Messaging is also subject to applicable carrier and provider content rules. Prohibited or restricted use cases may be broader than conduct prohibited by law. TELGO may block or suspend noncompliant traffic. Per-message or segment charges, MMS charges, carrier fees, and registration charges must be disclosed in your accepted order; an SMS can contain multiple billable segments.
06Emergency calling and service limitations
AI receptionists, voicemail, messaging, and conversation memory are not emergency-response services. Do not use them to seek urgent assistance or rely on an AI agent to recognize an emergency or contact responders.
VoIP emergency calling can differ from traditional telephone service and may be affected by power loss, Internet or network failures, equipment configuration, and inaccurate or outdated registered location information. Review the emergency-calling disclosures applicable to your telephone service, maintain required location information, and keep an alternative means of contacting emergency services.
Before using TELGO as a primary telephone service, confirm the emergency-calling arrangement for that service. Any obligations TELGO has under applicable emergency-calling law remain in effect; this section does not waive them.
TO BE FINALIZED [E911-01]: Emergency service enrollment and restrictions. Identify which offerings support outbound telephone and emergency service, supported locations, location registration and updates, limitation disclosures, affirmative acknowledgment records, and assistance contacts. Validate emergency routing during payment restrictions, suspension, and capacity exhaustion before service launch.
07AI agents and optional memory
AI agents, including Bridget, generate responses and may use configured tools to route calls or perform other enabled actions. Outputs, transcripts, summaries, and recalled information may be incomplete, inaccurate, or inappropriate for a particular purpose. Verify important information and consequential actions.
You are responsible for the business instructions, greetings, permissions, and information you provide to an agent. Configure access appropriate to the task and maintain human oversight where needed. AI output is not professional medical, legal, financial, or emergency advice.
Optional memory must be separately enabled and used consistently with applicable notices, permissions, and service terms. Availability, allowances, and charges depend on the purchased configuration. Do not enable cross-account information sharing or biometric identification without the additional authorization and compliance measures those uses require.
Optional memory is supplied through Paloo. Its subscription level, included storage or processing units, retention conditions, and any overage rates must be stated in the accepted offer before charges apply. A term such as “token” must be defined in that offer; it does not by itself promise a particular quantity of stored memories or conversations. Enabling a memory subscription does not authorize unrestricted sharing between customer accounts.
TO BE FINALIZED [AI-01]: Agent authority and approval controls. Define information the agent may disclose, caller-verification requirements, permitted tools, and actions requiring customer or human approval. Address quotes, orders, refunds, appointment changes, and other commitments. Allocate customer configuration responsibilities and TELGO platform responsibilities, and specify error reporting and available investigation records. Enforce the approved limits in the product.
TO BE FINALIZED [AI-02]: Optional identity and sharing features. Identify whether voice identification and memory sharing between separate customer businesses are offered. If offered, define their separate enrollment, consent, authorization, and technical controls. Distinguish separate businesses from authorized users within one business; this placeholder does not authorize either feature.
TO BE FINALIZED [MEM-01]: Memory allowances and lifecycle. Finalize each Paloo memory tier, the definition of a billable token or other unit, allowance reset periods for monthly and annual subscribers, measurement, overage rates, and retention. Define whether disabling memory stops collection, retrieval, or both, and provide a separate deletion procedure. Provisional prices and quantities are not established here.
08Recording, transcription, and lawful communications
You must establish a lawful basis for collecting and processing communications, including giving required notices and obtaining required consent for recording, transcription, AI interaction, or memory features. Requirements can depend on the locations of the participants and the purpose of the communication. Enabling a feature is not a substitute for satisfying those requirements.
You must comply with applicable calling, messaging, marketing, do-not-call, consent, and opt-out requirements. Do not use TELGO to impersonate others, misrepresent caller identity, send unauthorized automated communications, or bypass a recipient’s expressed choices. TELGO’s own legal responsibilities are not transferred to you by this section.
TO BE FINALIZED [OUT-01]: Outbound AI calls and callbacks. Add the applicable consent, identification, opt-out, do-not-call, and recordkeeping provisions for outbound AI calls, distinguishing informational callbacks from marketing and inbound reception. Define how consent is verified before dialing; receiving a callback number must not be treated as blanket marketing permission.
09Acceptable use
Do not use the service to:
- Commit fraud, distribute unlawful content, harass or threaten others, or violate another person’s rights.
- Send spam, conduct prohibited robocalling, or evade carrier or anti-abuse controls.
- Access another account without permission, steal credentials, distribute malware, or interfere with service security.
- Overload networks, exploit vulnerabilities, or evade usage limits or payment requirements.
- Upload information you have no right to process or disclose, including sensitive regulated information where the necessary service agreement and safeguards are absent.
Contact TELGO before using the service for a regulated use that requires specialized agreements or controls. Availability of a feature does not establish certification or suitability for that use.
10Your content and TELGO technology
As between you and TELGO, you retain your rights in the content you provide, subject to the rights of others. You authorize TELGO and the providers involved in delivering the service to process, transmit, store, reproduce, and display that content to the extent needed to provide the configured services, support and secure them, and meet legal obligations.
TELGO and its licensors retain their rights in the platform, software, branding, and documentation. Your subscription grants only the access and use rights provided by your agreement. AI-generated output may not be unique, and TELGO does not promise that it is eligible for intellectual-property protection or free of third-party claims.
11Privacy and third-party services
Our Privacy Policy explains how personal information is handled. It is a notice about processing, not blanket consent to every optional use. Additional processing terms may apply where TELGO handles information for your organization.
Third-party services may be governed by their own terms. You are responsible for authorizing integrations and determining whether connected services meet your needs. TELGO remains responsible for obligations it assumes under its own agreements and applicable law.
TO BE FINALIZED [DATA-01]: Data processing, security, and confidentiality. Complete and incorporate the applicable data-processing agreement: party roles, confidentiality, security responsibilities, incident reporting, subprocessors including Paloo and AI providers, processing locations and transfers where relevant, and actual provider/customer model-training uses. Verify commitments against the deployed service and supplier agreements.
TO BE FINALIZED [DATA-02]: Export, retention, and deletion. Specify supported export formats and request procedure, access deadlines, retention schedules for recordings, transcripts and memory, deletion timing including backups, and legal-hold exceptions. Distinguish the retained inactive account record from customer content. Define the data access available after suspension or cancellation.
TO BE FINALIZED [REG-01]: Regulated service eligibility. Define supported and unsupported regulated use cases and any required service-specific agreements. For an approved healthcare offering, confirm the applicable BAA and safeguards across TELGO and relevant providers before enabling that use. This placeholder is not a representation of certification or suitability.
12Availability, suspension, and cancellation
We may maintain, update, or modify the service. Specific uptime, support, credit, or performance commitments apply only if included in your agreement. We may restrict or suspend access when reasonably necessary to address unlawful use, security threats, material agreement violations, nonpayment, or legal requirements. Where practical and appropriate, we provide notice and an opportunity to resolve the issue. The payment grace period in Section 03 does not delay action needed for an independent security, abuse, or legal reason.
Cancel anytime; access through the paid term. You may cancel renewal through TELGO support or an available account cancellation function at any time before renewal. Cancellation stops future subscription renewal; it does not ordinarily refund a purchased monthly or annual term or unused time within it. Subject to payment, security, and legal restrictions, service remains available through the purchased term, then the account is disabled. Package-change refunds under Section 03 and refunds required by applicable law are exceptions. Revoking a user’s access or disabling an AI feature does not itself cancel a paid subscription.
Arrange any permitted content export and desired number port while service is available. The 90-day number-reservation policy in Section 04 applies after expiration or nonpayment suspension. Outstanding usage remains payable under Section 03.
TELGO retains an inactive account record for possible future reactivation without a routine account-deletion deadline, subject to the Privacy Policy, applicable retention limits, and legally required deletion. Retaining the account record does not promise indefinite retention of recordings, transcripts, files, or Paloo memory, and does not guarantee continued access to that content. Content retention follows the applicable service terms and Privacy Policy. Sections that by their nature must survive termination continue to apply.
TO BE FINALIZED [CANCEL-01]: Cancellation confirmation. Define the written cancellation channel, how receipt and effective date are confirmed, renewal cutoff and timezone, and how the paid-through date and remaining charges are communicated. Keep the agreed cancellation, nonrefund, and final-usage rules intact.
13Warranties and responsibility for loss
Except for express commitments in your agreement and rights that cannot lawfully be excluded, the services are provided “as is” and “as available.” To the extent permitted by law, TELGO disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise uninterrupted service, error-free AI output, or suitability for every use.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential damages arising from the service. This exclusion does not apply to fraud, willful misconduct, gross negligence, or liability that applicable law prohibits excluding. Any additional liability allocation or monetary cap must be stated in the applicable service agreement.
TO BE FINALIZED [LIAB-01]: Default monetary liability cap. Select the aggregate cap, measurement period, treatment of paid versus payable fees, scope of affected services and claims, and any separate caps or exclusions with legal and insurance review. No cap amount is established by this placeholder.
TO BE FINALIZED [CLAIM-01]: Third-party claims and indemnification. Define each party’s obligations for third-party claims, including customer content, campaigns and required consent, and TELGO-caused failures. Specify exclusions, claim notification, defense control, cooperation, settlement approval, and interaction with liability limits. No indemnity obligation is created by this placeholder.
14Questions, disputes, and changes
Contact TELGO first with a service or agreement concern so we can try to resolve it. A separate signed agreement may specify governing law and dispute procedures. These website terms do not impose mandatory arbitration, a class-action waiver, or a shortened deadline for legal claims.
We may revise these terms. Material changes will be communicated before they take effect as required by the applicable agreement and law. If renewed acceptance is required, we will request it. Revised terms do not retroactively change an accepted order except as that order or applicable law permits.
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
TO BE FINALIZED [LAW-01]: Governing law and dispute forum. Select the governing state and forum, treatment of mandatory customer protections, and any additional dispute process. Decide whether arbitration will be offered or required rather than assuming it; the current draft does not impose it.
